TERMS OF SERVICE

Please read these terms carefully before using Guardian-X services.

Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Guardian-X Inc., a Virginia corporation ("Guardian-X," "we," "us," or "our"), governing your access to and use of the Guardian-X emergency management platform and related services.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Important Notice

If you do not agree to these Terms, do not access or use the Services.

1. Description of Services

Guardian-X provides an enterprise emergency management platform that includes:

Core Emergency Management

  • Duress alerting system (covert and overt panic capabilities)
  • Real-time location tracking during emergency events
  • Multi-platform applications (iOS, Android, macOS, Windows, Apple Watch)
  • Administrative dashboards for security operations
  • Real-time notification and communication systems

Intelligence Products

  • Guardian Recon: Social media intelligence and investigations
  • Guardian Sentinel: Threat monitoring and alerting
  • Guardian Horizon: Executive travel intelligence
  • Local intelligence aggregation services

Executive Protection Features

  • Vitals monitoring via wearable devices
  • Fall detection integration
  • Heart rate anomaly alerting
  • Location-based check-in systems

2. Account Registration and Security

Account Creation

To use the Services, your organization must create an account and provide accurate, complete, and current information.

Account Security

You are responsible for maintaining the confidentiality of account credentials and all activities under your account.

User Roles

You are responsible for properly configuring user roles and permissions within your organization's account.

3. Customer Responsibilities

Alert Content Responsibility

CUSTOMER IS SOLELY RESPONSIBLE FOR ALL ALERTS AND COMMUNICATIONS SENT THROUGH THE SERVICES. This includes the accuracy, content, and appropriateness of all alert messages; any mistakes, errors, or omissions; and any loss, damage, or liability arising from alerts. Guardian-X acts solely as a passive conduit for transmitting Customer's communications.

Consent and Authorization

Customer must obtain and maintain:

  • Employee Consent: Written or electronic consent from all users for enrollment, location data collection, and communications
  • Contact Authorization: Proper authorization to send alerts to all contacts, including TCPA, CAN-SPAM, and GDPR compliance
  • Workplace Policies: Clear policies informing employees about platform capabilities including location tracking

Prohibited Communications

Customer shall NOT use the Services to:

  • Send alerts to 911 or emergency services numbers
  • Send unsolicited commercial messages or spam
  • Transmit defamatory, threatening, or harassing content

4. Acceptable Use

Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. The Services are intended for legitimate emergency management, security operations, and employee safety purposes.

Prohibited Conduct

You agree NOT to:

  • Use the Services for any unlawful purpose
  • Trigger false emergency alerts intentionally (except during authorized testing)
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Services
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or sublicense access to the Services

Compliance with Laws

You are responsible for ensuring your use of the Services complies with all applicable federal, state, local, and international laws, including employment laws, privacy regulations, and emergency services regulations.

5. Data and Privacy

Data Collection

Guardian-X collects and processes data as described in our Privacy Policy, which is incorporated into these Terms by reference.

Data Ownership

You retain all rights to data you submit to the Services. You grant Guardian-X a limited license to use this data solely to provide the Services.

Location Data

The Services may collect precise location data during emergency events. You are responsible for informing employees about location tracking capabilities and obtaining any required consents under applicable law.

6. Intellectual Property

  • Ownership: Guardian-X retains all rights, title, and interest in the Services, including all intellectual property rights
  • Limited License: Subject to these Terms, Guardian-X grants you a limited, non-exclusive, non-transferable license to access and use the Services
  • Feedback: Any feedback or suggestions you provide may be used by Guardian-X without restriction
  • Trademarks: "Guardian-X" and related marks are trademarks of Guardian-X Inc.

7. Fees and Payment

Subscription Fees

Access requires payment of applicable subscription fees as set forth in your order agreement

Payment Terms

Fees are due in advance on an annual or monthly basis and are non-refundable except as required by law

8. Warranties and Disclaimers

Limited Warranty

Guardian-X warrants that the Services will perform substantially in accordance with the documentation during the subscription term.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Emergency Services Disclaimer

GUARDIAN-X IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES (911, POLICE, FIRE, MEDICAL). The Services are designed to supplement, NOT replace, your existing emergency response procedures. You remain solely responsible for maintaining relationships with local emergency services, training employees on emergency procedures, and calling 911 when appropriate. Guardian-X does NOT guarantee prevention of harm, injury, or death, successful emergency response, or timely delivery of all alerts.

Message Delivery Disclaimer

GUARDIAN-X DOES NOT AND CANNOT GUARANTEE DELIVERY OF ALERTS OR COMMUNICATIONS. Messages may be delayed, undelivered, or incomplete due to factors beyond our control including wireless carriers, ISPs, device settings, and network outages. Customer should not rely solely on any single communication channel for critical alerts. We strongly advise using multiple notification channels for critical communications.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Guardian-X shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Guardian-X's total cumulative liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim
  • These limitations reflect the allocation of risk between the parties and are an essential basis of the agreement

10. Term and Termination

Term

These Terms remain in effect until terminated by either party.

For Convenience

Either party may terminate with 30 days' written notice.

For Cause

Either party may terminate immediately upon material breach not cured within 30 days.

Upon termination, your access to the Services will be discontinued and Guardian-X will retain Customer Data for 30 days to allow export.

11. General Provisions

  • Governing Law: These Terms are governed by the laws of the Commonwealth of Virginia
  • Dispute Resolution: Disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
  • Entire Agreement: These Terms, together with the Privacy Policy and any order agreements, constitute the entire agreement
  • Amendments: Guardian-X may modify these Terms at any time with 30 days' notice for material changes
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • Assignment: You may not assign these Terms without Guardian-X's prior written consent
  • Force Majeure: Neither party shall be liable for delays due to causes beyond reasonable control
